How to get resident status?

An individual entrepreneur or or a commercial organization registered
on the territory of the municipality within whose borders the SEZ
is located – that is, the city of Orenburg or the city
of Orsk of the Orenburg region can become a resident of the SEZ.
The company must conduct industrial and
production activities or logistics activities.
To obtain resident status must go through 4 steps:
step # 1: submit an application and a package of documents to the Ministry of economic
development, investment, tourism and external relations of the Orenburg region;
step #2: review the application at the SEZ Expert council;
step #3: review the application at the SEZ Supervisory Board;
step #4: sign the agreement regarding the implementation of the activity.
Package of documents for submission to the Ministry of economic development,
investment, tourism and external relations of the Orenburg region:
› application;
› letter of intent to obtain resident status;
› copy of the certificate of state registration;
› copy of the certificate of registration with the tax authority;
› copies of constituent documents;
› business plan.

Organizations certify copies in the following situations:

– to provide contracts, invoices, constituent documents, certificates of ownership, and other third party companies and state bodies;
– for the exchange of personnel documentation within the company's divisions or branches;
– for providing certificates and extracts to employees with their work activities.

Employees of the company (including former employees) have the right to write a request for the issuance of any photocopies of papers related to their work (workbooks, employment orders, transfer, dismissal, certificates and extracts, etc.). The employer is obliged to issue them free of charge within 3 working days (Article 62 of the Labor Code of the Russian Federation and item 7 of the Rules for maintaining and storing workbooks, approved by Decree of the Government of the Russian Federation No. 225 of 16.04.2003).

Certified duplicates are also required by various institutions:

– tax inspections;
– Pension Fund;
– Social Insurance Fund;
– banks and microfinance organizations;
– supervisory authorities (Gostekhnadzor, Rospotrebnadzor, Rostekhnadzor, Labor Inspection, etc.);
– judicial instances.

How will the actual investment assessment of a SEZ resident be carried out? What is the minimum investment amount?

For a resident of a special economic zone of industrial-
production type, the minimum investment amount is 120 million rubles,
while 40 million rubles must be invested in the first 3 years
after the conclusion of the Agreement.
Investment assessment is carried out according to the volume of capital investments of a SEZ resident.

Are there any restrictions on the types of activities for residents?

On the territory of the industrial and production SEZ, it is allowed
to conduct industrial and production activities or logistics activities.

Where should a resident be registered?

The resident must be registered on the territory
of the municipality where the SEZ is located.
The site “Orenburg” is located on the territory of the Orenburg city
The site "Orsk" is located on the territory of the Orsk city
The management company provides residents with the opportunity to
register a legal entity in their office premises.

What benefits does a SEZ resident get?

Profit tax:
› in terms of payment to the federal budget: 2% from the moment of receipt of profit;
› in terms of payment to the regional budget:
0% from the moment of profit earning for 5 years;
5% from the 6th to the 10th year;
13.5% from the 10th year.
Transport tax:
› 0% from the moment of vehicle registration of 5 years.
Property tax:
› 0% from the moment of property registration for 10 years.
Land tax:
› 0% from the moment of the ownership of the land
for 5 years.
Customs benefits:
› 0% VAT on import (import duty) of foreign goods: raw materials,
equipment, components;
› 0% VAT on exports (export duty) outside the Customs Union
(Russia, Kazakhstan, Belarus, Armenia, Kyrgyzstan).

When and how does a resident start using the benefits?

The resident begins to use the following benefits:
› after signing the agreement, in case of carrying out activities
in the leased premises of the Management Company;
› after the start of operating activities, at the facility
put into operation, in the case of construction of its own production.
A resident receives benefits by presenting to the relevant executive
authorities a certificate certifying the registration of a person as a resident
of a special economic zone.

In what cases possible to lose the resident status?

The company may lose its resident status if it does not comply with the terms
of the agreement or conducts activities with the following serious violations:
› carrying out business activities in the SEZ that are not
provided for in the agreement on the implementation of activities;
› failure to carry out activities for twenty-four consecutive months;
› failure to provide project documentation;
› failure to make investments, including capital investments.

Who can rent a land?

A land can only be rented by a SEZ resident.

Is it possible to immediately buy the land?

A resident has the right to buy a land only after the commissioning
of an object built on it and registration of ownership rights

How will the rent for the land be calculated while the construction is being carried out?

The calculation and accrual of rent is made from the moment
of conclusion of the lease agreement. The law does not provide for the possibility of granting
a deferral.

Will there be an unloading station with cranes in the SEZ?

It is planned to build a railway container platform with cranes.

Who issues technical specifications, construction permits, commissioning?

Technical specifications for connection to engineering networks are issued
by the management company.
The relevant departments deal with the issues of construction permits,
commissioning and state expertise.

What legal acts regulate the activities of the SEZ?

Federal Law No. 116-FL of July 22, 2005 “On Special Economic Zones
in Russian Federation".

Does a resident have the right to open branches outside the SEZ?

A resident does not have the right to have branches and representative offices outside
the territory of the SEZ.

What is an expert council? Who is a member of the expert Council?

The Expert Council is a collegial body whose main purpose is
to evaluate the business plans of companies intending to obtain the status of
a SEZ resident.
The main tasks of the SEZ Expert Council are:
› making a decision on the production of scientific and technical products in the SEZ;
› evaluating business plans;
› making a decision on supporting the business plan or refusing to support
the business plan;
› assessment of the applicant's financial viability;
› assessment of the significance of the project for the development of the real sector of the economy;
› assessment of socio-economic indicators.
The meeting is held once a quarter.
The council consists of experts from various industries, as well as representatives
of the Ministry of economic development of the Russian Federation, executive
authorities of the Orenburg region, representatives of JSC SEZ IPT
"Orenburzhie".

Are there any requirements for the resident's performance indicators (revenue, return on sales, minimum , tax burden requirements)?

No requirements are set.

What is the free customs zone regime?

Within the framework of the Free Customs Zone regime, the following preferences
are provided:
› deferred payment of customs duties;
› no costs for a temporary storage warehouse;
› own customs post;
› flexible system of customs payments: customs duty
and VAT are paid either entirely for the final product, or only for
its foreign components;
› the possibility of duty-free placement of foreign goods on
the territory of the SEZ for an almost unlimited amount of time.
The customs procedure of a free customs zone is described in article 37
of Federal Law No. 116-FL of 22.07.2005 "On Special Economic Zones
in Russian Federation".

As part of the project implementation in the SEZ, what inspections will be carried out by the supervisory authorities? What indicators will be monitored? Frequency of such сhecks?

Federal authorities and the Government of the Orenburg region are responsible
for monitoring the implementation of the agreement by a resident on the implementation
of activities.

Who can help to prepare a business plan?

The management company and JSC "Orenburg region development corporation"
provide services to adjust the business plan in accordance with the standard
form.

Is it possible for a resident to independently choose a site in the SEZ?

The resident can independently choose any site within the territory
of the SEZ, taking into account the location of the existing infrastructure.

How much does it cost to rent and buy a land?

Lease of land is 2 percent of their cadastral value per year,
using a coefficient depending on the size of capital investments:
› for capital investments of at least 120 million rubles — 0.9;
› for capital investments of at least 240 million rubles-0.7;
› for capital investments of at least 360 million rubles-0.5.
The purchase price is 100% of the cadastral value.

What infrastructure is planned for the SEZ?

Electricity, gas, water supply, water disposal, storm sewers,
and a road will be connected to the borders of each resident's
site.

Is it possible to build railway tracks on the site? Who will finance the construction of additional railway tracks?

It is possible to build railway tracks to residents ' site
at the expense of the management company's funds.

How long will the supply of communications (electricity, gas, water supply, water disposal, storm sewer) to site and the construction of highways be carried out?

The construction of the infrastructure is planned to be completed in 2023.
